Terms of Engagement

These Terms of Engagement outline the terms upon which Financials Direct Ltd (“we,” “us,” “our”), operating TAAX.co.uk, provides accounting, taxation, and advisory services to our clients (“you,” “client”). Please read these terms carefully to fully understand your rights, obligations, and the scope of our services.

Services Offered

We provide comprehensive accounting, taxation, and advisory services, including but not limited to:

  • Preparation and filing of individual and business tax returns

  • Capital Gains Tax (CGT) calculations, planning, and filing

  • Corporation Tax compliance, planning, and submissions

  • General tax advisory and planning

  • Financial accounting services

  • VAT compliance and advice

  • Bookkeeping services

  • General business and financial advice

Pricing and Fees

The fixed prices advertised on TAAX.co.uk are for general informational purposes only. While we endeavour to maintain these prices for standard cases, actual charges may vary based on your specific situation and requirements.

  • Trade-related services: Fixed fees advertised (e.g., £99 plus VAT for a taxi driver’s tax return) will strictly apply provided your circumstances align with the service description.

  • Additional Income, Complexity or Advice: If upon reviewing your details, it is established that you have additional income streams, complex financial scenarios, or require additional tax advice beyond the standard service (such as Capital Gains Tax or Corporation Tax), we will inform you clearly and in advance. We reserve the right to adjust fees accordingly, subject to your explicit agreement.

Engagement Process

  • Submission of your details through online forms or initial communications does not automatically establish an engagement or contractual relationship.

  • A formal engagement is established only after we have reviewed your information, confirmed the applicable fee, issued a formal engagement letter, and obtained your explicit acceptance.

Client Obligations

You agree to:

  • Provide accurate, complete, and timely information required to deliver our services.

  • Promptly notify us of any changes or developments affecting your tax or financial situation.

  • Respond promptly and fully to our requests for additional information or clarification.

Confidentiality and Data Protection

We are committed to protecting your confidentiality and will securely handle all personal and financial information in compliance with UK GDPR and the Data Protection Act 2018. Please refer to our Privacy Policy for further details.

Liability

Our liability to you for losses directly attributable to our negligence or breach of contract is strictly limited to the fees paid by you for the respective services.

Exclusion of Indirect Damages: We are not liable for any indirect, special, incidental or consequential damages arising out of or related to this agreement (including, without limitation, costs of delay; loss of data, records or information; and lost profits), even if we know of the possibility of such damage or loss.

Total Limit on Liability: Our total liability arising out of or related to this agreement (whether in contract, tort, or otherwise) does not exceed the amount paid by you within the 3-month period prior to the event that gave rise to the liability.

Indemnity

If any third-party brings a claim against us, or requires us to respond to a legal process, related to your acts, omissions, data, or information provided to us, you agree to defend, indemnify, and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim or request.

Payment Terms

Invoices will be issued upon your acceptance and signature of our engagement letter. Payment is due immediately upon receipt unless alternative payment terms are explicitly agreed upon in writing. Late payments may incur additional charges, and we reserve the right to suspend services if invoices remain unpaid.

Cancellation and Termination

You have the right to cancel the engagement before payment is made, without any charges.

If payment has been made and you subsequently decide to cancel the engagement within five days and before providing any documentation for accounts or tax returns, we reserve the right to retain 50% of the invoiced amount to cover administrative and preparatory costs incurred. The remaining 50% of the invoiced amount will be refunded to you.

No refund will be made once you have provided us with the documents required to prepare your accounts or tax returns or if cancellation occurs after five days from payment—whichever occurs earlier.

Either party may terminate the engagement at any time by providing written notice. Upon termination, fees for services completed up to that date will remain payable.

Changes to Terms

We reserve the right to amend these Terms of Engagement. Any changes will be clearly communicated to you in writing.

Governing Law and Forum

This agreement is governed by the laws of England (without regard to conflicts of law principles) for any dispute between the parties or relating in any way to the subject matter of this agreement. Any suit or legal proceeding must be exclusively brought in courts of England and Wales, and you submit to this personal jurisdiction and venue. Nothing in this agreement prevents either party from seeking injunctive relief in a court of competent jurisdiction. The prevailing party in any litigation is entitled to recover its attorneys’ fees and costs from the other party.
